U.S. work-made-for-hire rules also have specific statutory requirements rather than functioning as a universal shortcut for every outsourced software project.

Other jurisdictions can approach commissioned works differently. For example, UK government guidance says the creator generally owns copyright in commissioned work unless the parties agree otherwise in writing. Indian copyright law also contains specific first-ownership and assignment provisions.

So before signing an outsourcing agreement, don’t ask only, “Do I own the code?”

Ask:

Which IP am I receiving, what rights am I receiving, what remains with the developer, and can I actually take over and operate the product?

What Counts as IP in a Software Project?

“Software IP” is broader than source code.

A project can contain several categories of intellectual property and related rights.

Source code

This is usually the most obvious asset. A copyright transfer generally needs a written instrument signed by the relevant copyright owner or authorized agent. For additional context on how ownership can be addressed in software development outsourcing, it is also important to review the contractual terms governing the software and related intellectual property.

The UK takes a different approach to commissioned works. GOV.UK explains that, generally, the person or organization creating commissioned work is the first copyright owner unless the parties agree otherwise in writing.

Indian law also recognizes the author as the first owner subject to statutory exceptions and allows copyright assignment, with Section 19 requiring an assignment to be in writing and signed.

This is why a global statement such as “the client always owns outsourced code” is unsafe.

What should the client do?

The development agreement should clearly establish:

Which newly created deliverables belong to the client

Which rights are assigned

When the assignment becomes effective

What pre-existing technology is excluded

What license the client receives to excluded technology

How third-party and open-source components are handled

Whether subcontractors must sign equivalent assignments

What happens when the project ends

For cross-border projects, have counsel familiar with the governing jurisdictions review the actual agreement.

Copyright Assignment vs Software License

This distinction causes many outsourcing disputes.

Copyright assignment

An assignment transfers specified copyright rights from one party to another.

The exact scope depends on the agreement and applicable law.

Software license

A license gives another party permission to perform specified acts without necessarily transferring ownership.

For example, a vendor might retain ownership of a reusable framework while giving the client a perpetual license to use it as part of the client’s product.

That arrangement can be commercially sensible when the vendor has genuine pre-existing technology.

The problem occurs when the client assumes that a license means ownership.

It doesn’t necessarily.

A practical example

Imagine a vendor builds a SaaS application for a startup.

The new application code is assigned to the startup.

However, the vendor uses a pre-existing internal authentication library that it also uses across other projects.

The contract might say:

Startup owns project-specific code.

Vendor retains its pre-existing authentication framework.

Startup receives a perpetual license to use the framework as integrated into its product.

That can be very different from saying the startup owns every line of code.

The contract needs to make that distinction clear.

What Does “Work Made for Hire” Actually Mean?

<img decoding="async" width="1024" height="576" data-src="https://bkabhi.com/blog/wp-content/uploads/2026/10/software-development-IP-ownership-2-1024x576.png" alt="software development IP ownership" class="wp-image-2670 lazyload" data-srcset="https://bkabhi.com/blog/wp-content/uploads/2026/10/software-development-IP-ownership-2-1024x576.png 1024w, https://bkabhi.com/blog/wp-content/uploads/2026/10/software-development-IP-ownership-2-300x169.png 300w, https://bkabhi.com/blog/wp-content/uploads/2026/10/software-development-IP-ownership-2-768x432.png 768w, https://bkabhi.com/blog/wp-content/uploads/2026/10/software-development-IP-ownership-2-1536x864.png 1536w, https://bkabhi.com/blog/wp-content/uploads/2026/10/software-development-IP-ownership-2-150x84.png 150w, https://bkabhi.com/blog/wp-content/uploads/2026/10/software-development-IP-ownership-2.png 1672w" data-sizes="(max-width: 1024px) 100vw, 1024px" src="data:image/svg+xml;base64,PHN2ZyB3aWR0aD0iMSIgaGVpZ2h0PSIxIiB4bWxucz0iaHR0cDovL3d3dy53My5vcmcvMjAwMC9zdmciPjwvc3ZnPg==" style="--smush-placeholder-width: 1024px; product

Rebuild part of the application

Expand internationally

A vague ownership structure can make those transitions automatically a reason to reject the vendor.

There may be a legitimate reason.

For example, the vendor may have a proprietary framework that it uses across projects.

Instead of transferring ownership of that framework, the vendor might license the necessary rights to the client.

The key questions become:

Is the license perpetual?

Is it worldwide?

Is it transferable if the company is acquired?

Can the client modify the Matters

There is no single global answer to software IP ownership.

For example:

United States: copyright transfers generally describes capabilities such as authentication, subscription management, payment integration, analytics dashboards, multi-tenant architecture, APIs and cloud deployment.

However, BkAbhi’s public pages reviewed for this article do not establish a universal IP-ownership policy applicable to every client engagement.

Therefore:

BkAbhi’s specific contractual IP ownership terms: Not publicly verified.

A prospective client should review the actual statement of work and development agreement rather than assuming that a website description establishes the legal ownership structure.

That distinction is important for any development company, not just BkAbhi.

A Practical Pre-Signature Checklist

<figure answer “yes” or provide a documented answer to the following:

The contract identifies the project deliverables.

Ownership or development isn’t settled by the invoice, the project proposal or a casual promise from a salesperson.

The practical answer comes from the combination of applicable law, contract language, contributor relationships, background IP, third-party components and the actual handoff process.

For founders, the most useful approach is to separate the product into layers:

new project code → vendor background IP → open-source dependencies → third-party services → designs and documentation → operational accounts and access.

Then establish what you own, what you license, and what remains outside the project.

That makes the conversation much clearer before development begins—and much easier to resolve if the relationship changes later.

For startups evaluating the broader vendor relationship, the how to hire an MVP development team provide useful complementary checklists.

This
